Contract review, built for staffing law

The contracts inbox
that does its own work.

Contract review, redlines, approval routing, and signatures for staffing agreements, in one workflow, calibrated to your positions.

Pacta reads incoming contracts, produces your redlines and legal memo, tracks every negotiation round, routes approval gates, and closes to DocuSign. Your attorney reviews and sends every response. The platform handles the rest.

Built by staffing lawyers · Calibrated to your playbook · Multi-tenant from day one

The Problem

Staffing contracts are a grind. Most of it is the same grind every time.

Client MSAs. Statements of Work. NDAs. Office leases. The same fifteen redlines every week, on slightly different paper. Insurance limits. Indemnity carve-outs. Conversion-fee schedules. State-by-state employment quirks. Senior lawyer judgment, applied to junior-lawyer work.

That is the work your software should be doing, not chatting with you about it.

  • Your GC reviews the same MSA language for the 200th time
  • Redlines sit in draft while the deal team waits
  • Counter-rounds lose track of what changed and when
  • Approval gates run on email threads and institutional memory
  • Conversion-fee math gets calculated on a spreadsheet, per deal
  • Executed contracts live in a shared drive no one fully trusts
  • Renewals and key dates surface only when someone remembers to check

How it works

Inbox to executed agreement,
without leaving the platform.

01

Identifies the agreement

Reads the contract, identifies type and counterparty, selects your applicable playbook.

02

Reviews against your positions

Calibrated to your preferred, fallback, and rejected language, by agreement type and counterparty.

03

Produces a redline + memo

A tracked-changes DOCX and a structured legal memo, every contract, every time.

04

Drafts your reply

Stages a Gmail reply with attachments. You review, edit, and send. Nothing goes out without you.

05

Tracks every counter-round

Diffs every counter, routes approval gates, and surfaces tolerance drift when it matters.

06

Closes for signature

When parties align, sends the clean executable to DocuSign directly from the dashboard.

Who it's for

Built for the people who
actually do this work.

Features

Not a chatbot with a legal prompt. The contract platform built for staffing law.

Generic AI legal tools redline a contract the way a smart paralegal would: competently, but generically. Pacta knows the difference between an exclusive remedy clause in a New York staffing MSA and the same clause in a California EOR services agreement. It knows your insurance floors by state. If you are a staffing lawyer, Pacta speaks your language because it was built by one.

The Full Contract Lifecycle

Every stage from intake to execution, in one place. No jumping between tools, no lost thread, no mystery about where a deal stands.

  • Gmail intake to AI redline to tracked-changes DOCX
  • Legal memo with risk score and issue rationale
  • Counter-round diffing and iteration analysis
  • DocuSign envelope triggered from the dashboard
  • MSA to SOW parent-linking with inherited terms
  • Full negotiation history and audit log export

Staffing Ops Layer

A native staffing operations layer built in, not bolted on.

Placed worker + tenure tracking W2 + C2C conversion fees COI compliance checker Pre-employment screening Subcontractor / C2C tracking Renewal + key-date calendar 10-state compliance flags

Counterparty Memory

After three deals, Pacta knows how a specific counterparty negotiates. Accept rates, pressure points, and patterns are injected into every new review automatically.

Multi-Role Approval Gates

Exec and sales approvals by email, no login required. Legal sets the rules. The agent enforces them and sends the request. You just get a yes or no.

Calibration Analytics

Accept, edit, and drop rates by agreement type and counterparty. Know where your positions hold and where they are drifting, before it costs you a deal.

Clause Library

Preferred, fallback, and rejected tiers. Alias-tolerant search. The agent references your library on every review.

Word Add-In

A review pane inside Microsoft Word. See the agent's redlines, comments, score, and memo next to your document, edit comments, and regenerate without switching to the dashboard.

Multi-Tenant Architecture

Per-client isolated playbooks, audit trails, and role access. One platform for your whole practice, or your whole firm.

"My job is to keep our clients out of the kind of contract trouble that ends in a $10M problem. Pacta is the work I'd assign to a senior associate if I had one: calibrated, fast, and accountable."

Product tour

What it actually looks like.

Real screens. Demo data.

app.pactalegal.ai
Pacta negotiation dashboard showing multiple deals in various lifecycle stages Pacta AI redlines modal showing section-by-section contract changes Pacta counter-round comparison viewer showing tracked changes between submissions
Every deal at a glance. The negotiation dashboard tracks every MSA, SOW, and NDA through its full lifecycle, from initial intake to executed. Status, score, round count, and last activity visible on one screen.
Section-by-section redlines, applied and explained. Each redline includes the original text, the proposed replacement, a tracked-changes preview, and the legal rationale, tied to your playbook, not a generic prompt.
Know exactly what changed between rounds. When a counter comes in, Pacta shows you a confidence-scored diff of every modification: what they accepted, what they pushed back on, and what is new.

FAQ

Common questions

Does my attorney still review everything before it goes out?

Yes, always. Pacta stages the redlined document and draft email in Gmail. Nothing is sent without your explicit review and approval. The agent does the first-pass work; you keep full control.

Is my contract data used to train the model?

No. Pacta uses Anthropic's Claude API with contracts processed in-session and PII-scrubbed before any API call. Your data is never used for training. See our Privacy Policy.

How is Pacta different from a general legal AI?

A general legal AI is a horizontal tool you assemble yourself. Pacta is a complete contract workflow: inbox monitoring, redlines, approval routing, negotiation tracking, and DocuSign, all built in and calibrated specifically to staffing law. No connectors to wire up, no subscriptions to stack.

Does Pacta replace a CLM like Ironclad?

For staffing law, yes, and it goes further. Ironclad is a horizontal tool with no staffing-specific logic. Pacta knows the difference between a conversion-fee cliff in a light industrial MSA and an EOR services agreement. More complete, fraction of the price.

What does it cost?

Plans start at $1,500/month. Annual billing saves about 17%. Full breakdown on the pricing page.
